Terms and Conditions of Sale – JustBE Consulting Services

1. Parties and Scope

These Terms and Conditions (“Terms”) govern all services provided by JustBE Consulting (the “Service Provider”) to the client (the “Client”).

By engaging our services or submitting a completed order form, the Client acknowledges that they have read, understood, and agree to these Terms.

These Terms cover the following Packages and Services offered by JustBE Consulting:

2. Service Description

2.1 Podcast Maintenance Package

Includes management of podcast content and media to ensure consistent publishing and promotion across platforms such as YouTube, Spotify, Apple Podcasts, and others.

Up to five (5) podcast events per month may include:

  • Updating and uploading episode-specific images, text, and descriptions using your podcast graphic template.
  • Uploading approved video or audio links to event or channel pages.
  • Managing and publishing approved content on Eventbrite, Facebook, LinkedIn, Streamyard, YouTube, and other designated platforms.
  • Scheduling and posting related social media updates (event announcements, day-of reminders, post-event episode releases).

2.2 Social Media Posts Package

  • Scheduling and publishing Client-provided content across agreed social media platforms.
  • Maintaining brand consistency, using approved graphics, templates, and copy.
  • Ensuring timely and consistent posting according to the agreed calendar.

2.3 Social Media Marketing Package

  • Developing and implementing content strategies to promote the Client’s brand, products, or services.
  • Managing multi-platform campaigns and performance tracking.
  • Engaging with followers, optimising posting times, and monitoring engagement trends.
  • Optional paid advertising management (subject to separate agreement and fees).

2.4 General Administration

  • Routine administrative support such as data entry, correspondence handling, document formatting, and file organisation.
  • Calendar management, meeting coordination, and basic reporting as required.

2.5 Executive Administration

  • High-level executive support, including email and diary management, travel coordination, report compilation, presentation preparation, and internal/external communication support.
  • Coordination of management meetings, documentation, and project tracking.

2.6 Project Administration & Management

  • Oversight and management of projects from initiation to completion.
  • Monitoring progress, timelines, budgets, and compliance with client objectives and regulatory requirements.
  • Coordination between departments, contractors, and stakeholders.

2.7 Contract Drafting

  • Preparation and formatting of business contracts, service agreements, and related documentation based on client-provided information and requirements.
  • Legal review or approval remains the responsibility of the Client.

2.8 BID Management & Tender Administration Support

  • Assistance with the preparation, compilation, and submission of bids, tenders, and proposals.
  • Document tracking, compliance checks, and coordination with suppliers and stakeholders.

2.9 Event Management

  • End-to-end planning, coordination, and administration of corporate or public events.
  • Scheduling, platform setup, invitations, marketing, and logistical support.

3. Client Responsibilities

To ensure effective service delivery, the Client agrees to:

  • Provide all required information, materials, access credentials, and approvals on time.
  • Supply accurate and complete content, including text, graphics, and media assets.
  • Grant access to necessary tools, platforms, or accounts (e.g., YouTube, social media, scheduling tools).
  • Respond to queries and approvals promptly to prevent delays.

The Service Provider will not be held responsible for delays or errors resulting from late, incomplete, or inaccurate information supplied by the Client.

4. Exclusions and Additional Charges

The following are not included in standard service packages unless specifically agreed and quoted:

  • Custom graphic design or new visual template creation.
  • Video or audio editing services.
  • Copywriting, transcription, or content creation beyond the provided materials.
  • Paid advertising management or media spend.
  • Legal advice or review of drafted documents.

Additional work outside the agreed scope will be billed at the Service Provider’s prevailing hourly or project rate.

5. Fees and Payment Terms

  • All services are subject to the fees quoted in the applicable proposal, invoice, or Service Agreement.
  • Payment is due in full before service commencement unless otherwise agreed.
  • Late payments may result in suspension of services.
  • Retainer or subscription services are billed monthly in advance and automatically renew unless cancelled in writing with 30 days’ notice.

6. Cancellation and Refunds

  • Either party may terminate services with 30 days’ written notice.
  • No refunds will be issued for services already rendered or for months partially completed.
  • Should the Client fail to provide required materials for an extended period, the Service Provider may consider the project inactive and close it without refund.

7. Confidentiality and Data Security

  • All information, credentials, and materials shared by the Client will be treated as strictly confidential.
  • The Service Provider will not disclose any Client information without written consent, except where legally required.
  • Upon termination of services, the Client is responsible for revoking access and updating passwords.

8. Intellectual Property

  • The Client retains ownership of all content, data, and materials they supply.
  • The Service Provider retains ownership of its proprietary systems, templates, and methods.
  • The Client is granted a license to use any deliverables created as part of the services for their intended purpose.

9. Limitation of Liability

  • The Service Provider’s liability shall not exceed the total amount paid by the Client for services rendered in the previous three (3) months.
  • The Service Provider is not liable for indirect, incidental, or consequential losses, including, but not limited to, loss of business, income, or reputation.
  • The Service Provider shall not be liable for third-party platform outages, errors, or data loss beyond their control.

10. Warranties and Disclaimers

  • Services will be delivered with reasonable care and skill in accordance with professional standards.
  • The Service Provider makes no guarantee of specific results (e.g., social media engagement, podcast reach, event attendance, or revenue).
  • All timelines are estimates and may vary based on Client responsiveness and third-party factors.

11. Force Majeure

Neither party shall be held liable for failure or delay in performance caused by circumstances beyond their reasonable control (including natural disasters, internet or platform outages, or third-party service disruptions).

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa.

Any disputes will first be addressed through mediation, and if unresolved within 30 days, may be referred to the competent courts of South Africa.

13. General Terms

  • These Terms, together with any proposal or signed Service Agreement, constitute the full agreement between the parties.
  • Amendments to these Terms must be made in writing and signed by both parties.
  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • The Service Provider may update these Terms from time to time, with notice to the Client.

14. Acceptance

By signing the Service Agreement, submitting a booking form, or paying an invoice, the Client confirms acceptance of these Terms and Conditions and agrees to abide by them.
